IA, was involved as Fletcher Challenge Industries´ legal counsel (a company in the cement industry and other construction material, owned by the Fletcher Challenge Industries Group of New Zealand), in the drafting of the Share Transfer Agreement, as well as in the completion of the process that transferred assets and shares to Francesa S.A. and Soboce S.A., both Bolivian companies. Said operation was valued at around US$ 10, million.
Likewise, IA has been involved in most of the major mergers and acquisitions that have taken place in Bolivia, such as the merger of Ambas Limited (Sucursal Bolivia) into Pan American Energy Bolivia S.A.; the merger of Concrebol SA, Siderbol SA and Emisa into the Fletcher Challenge group; and the acquisition of CBP SA by Pride Bolivia Ltda.
Furthermore, IA negotiated and participated in the privatization process of Yacimientos Petroliferos Fiscales Bolivianos (YPFB) and its perforation units, that was incorporated as a Bolivian company with private (Pride International Ltda.) and state owned capital (YPFB), which initially was denominated Compañia Boliviana de Perforación SAM. Pride International Ltda. purchased the shares held by the Bolivian state, making the company 100% private. The operation was integrally performed by our law firm.
